By registering on, accessing, browsing, downloading or using the Paytm Platform for any general purpose or for the specific purpose of availing any Paytm Service, you agree to be bound by terms and conditions set forth below as well as by the service-specific terms and conditions applicable to each Paytm Service, including without limitation terms and conditions for Salt T&Cs. These T&Cs shall also include any additional or modified terms and conditions in relation to or any additional or modified service-specific terms and conditions in relation to the Salt T&Cs. By registering on, accessing, browsing, downloading or using (as applicable) the Paytm Platform or availing any Paytm Service, you automatically and immediately agree to all the T&Cs. If at any time you do not accept or agree with any of the T&Cs or do not wish to be bound by the T&Cs, you may not access, browse or use the Paytm Platform and immediately terminate your availing the Paytm Services. Accepting or agreeing to the T&Cs shall constitute a legal contract (hereinafter “Agreement”) between you, being at least 18 years of age and an individual user of the Paytm Platform or a customer or beneficiary of the Paytm Services, and Paytm. All services are rendered by Paytm through the Paytm Platform under the brand name “Paytm” (or any derivatives or variations thereof). Consequently, all the rights, benefits, liabilities and obligations under the T&Cs shall, as the case may be, accrue to the benefit of, or incurred by, Paytm, regarding your use of Paytm’s digital services (which includes but may not be limited to prepaid recharge, bill payment, booking movie tickets, bus tickets, hotel rooms or flight tickets), the semi closed wallet service, the marketplace service, Paytm Salt, or any such other services which may be added on the Paytm Platform and which will henceforth be a Paytm Service, from time to time. The Paytm Services shall be used by you subject to your adherence with the T&Cs. As long as you accept and comply with these T&Cs, Paytm grants you a personal, non-exclusive, non-transferable, limited, revocable privilege to enter and use the Paytm Platform and/or avail the Paytm Services.

You have carefully read and understood the terms and conditions as set out herein and that you are providing your information on Paytm Platform at your sole discretion. For good and valuable consideration, the receipt of which you hereby acknowledge, you understand and agree to the following:

1. By registering on, accessing, browsing, downloading or using the Paytm Platform for any general purpose or for the specific purpose of availing any Paytm Service, you agree to be bound by terms and conditions set forth below as well as by the service-specific terms and conditions applicable to each Paytm Service, including without limitation terms and conditions for Salt T&Cs. These T&Cs, including the Salt T&C shall also include any additional or modified terms and conditions in relation to or any additional or modified service-specific terms and conditions in relation to the Salt T&Cs, including Salt T&Cs. By registering on, accessing, browsing, downloading or using (as applicable) the Paytm Platform or availing any Paytm Service, you automatically and immediately agree to all the T&Cs, including Salt T&Cs.
2. You hereby expressly grant your consent to Paytm for: (I) calculation of Paytm Salt by Paytm AND (II) Use and/or submitting your Paytm Salt (“Your Paytm Salt”) for itself and/or to any third party/person as it deem fit, in accordance with Applicable Law(s);
3. “Paytm Salt” shall mean Paytm’s proprietary count devised for each of Paytm User/ Paytm Customer in such designated format/parameters as One97 may deem fit, along with Paytm Salt Vector.
4. “Paytm Salt Vector” shall mean Paytm’s devised proprietary Paytm Customer’s usage pattern/Paytm interactions, analyzed and prepared in a specific designated format as One97 may deem fit, formulated basis various information/interaction of Paytm Customers’ on Paytm Platform.
5. In no event under this Agreement any “Sensitive Data or Personal Information” and “Personal Identifiable Information” the meaning ascribed to it under section 43(a) and 72(a) respectively, of Information Technology Act, 2008 (as amended from time to time), of any Paytm Customer’s shall be shared by One97 under this Agreement.
6. You hereby expressly permit and consent to share your Paytm Salt and Paytm Salt Vector to any third party/person to enable Paytm to arrange to provide various products and/or services through such third party/person as per your requirements. .
7. You shall not hold Paytm and/or any of its affiliates or subsidiaries, liable for any loss, claim, liability, or damage of any kind resulting from, arising out of, or in any way related to: (a) delivery of your Paytm Salt; (b) any use, modification or disclosure by the such third party/person of your Paytm Salt, in whole or in part, and (c) any breach of solicitation and/or any calling/telecommunication or privacy guidelines by any third party/person in relation to Paytm Salt.
8. You hereby acknowledge and accept that any credit facility/loan/any other product and/or services provided or to be provided to you after seeking your explicit consent, pursuant to your Paytm Salt, by any credit institution/banks/non-banking financial institutions shall be the sole discretion of such entity as per the credit criteria and other criteria set/ selected by such entity. You further acknowledge and accept that you may or may not be able to receive any credit facility offers from any credit institution.
9. Paytm has not made any promises or representations to you in order to induce you to provide your consent or authorization as contemplated herein and that you have agreed to the terms herein at your own free will.
10. The Salt T&Cs is on an “as-is”, “as available” basis and Paytm expressly disclaims all warranties, including the warranties of merchantability, fitness for a particular purpose, and non-infringement of Paytm Salt.
11. Paytm disclaims all responsibility for any loss, claim, liability, or damage of any kind resulting from, arising out of, or in any way related to: (a) any errors in or omissions, including but not limited to technical inaccuracies and typographical errors in relation to your Paytm Salt, (b) the unavailability of Paytm Salt or any portion thereof, (c) your use of Paytm Platform, (d) refusal by Paytm to share your Paytm Salt in its absolute and independent discretion.
12. You agree to defend, indemnify, and hold harmless Paytm, its officers, directors, employees, agents, licensees, affiliates, advisors, successors and assigns from and against any and all loss, damage, liability, claim, demand, suit, cost and expense (including court costs and reasonable attorney fees) suffered and/or incurred (as the case maybe) by Paytm and/or resulting from claims made against Paytm by third parties including any credit institution arising pursuant to this Agreement and/or any matters incidental thereto.
13. You shall not sue or otherwise make or present any demand or claim, and you irrevocably, unconditionally and entirely release, waive and forever discharge Paytm, its officers, directors, employees, agents, licensees, affiliates, successors and assigns, jointly and individually (hereinafter “Release”), from any and all manner of liabilities, claims and demands of any kind or nature, whatsoever, in law or equity, whether known or unknown, which you ever had, now have, or in the future may have against the Release with respect to grant of your consent in relation to disclosure of your Paytm Salt.
14. Paytm shall be entitled to assign or sublicense all or a portion of the rights and licenses granted herein and/or in terms of this Agreement in its entirety, without any consent and/or payment to you. You shall not have any right to assign this Agreement or any of your obligations herein and any such assignment is voidable by Paytm in its sole discretion.
15. No waiver of any provision of this Agreement shall constitute a waiver of any other provisions or any other or further breach.
16. In the event that any provision of this Agreement shall be illegal or otherwise unenforceable, such provision shall be severed, and the balance of the Agreement shall continue in full force and effect.
17. This Agreement has been deemed to be entered into in New-Delhi and the validity, interpretation and legal effect of this Agreement shall be governed by the laws of India. You consent to the exclusive jurisdiction of the courts located in New-Delhi in regard to any dispute arising out of this Agreement.
18. These Salt T&Cs as well as any of the other the terms of this Agreement may be changed/modified/amended/substituted/inserted/deleted by Paytm, without any notice and/or consent at its sole and independent discretion.

YOU HEREBY ACKNOWLEDGE THAT YOU HAVE CAREFULLY READ THE FOREGOING TERMS AND CONDITIONS AND AGREE TO ENTER INTO THIS AGREEMENT. IF THESE TERMS AND CONDITIONS ARE NOT ACCEPTABLE IN FULL, YOU MAY TERMINATE THE USE OF PAYTM PLATFORM.
